Terms of Service

1. Acceptance of Terms

By accessing or using the EMF Global platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2. Description of Service

EMF Global provides a private multi-tenant business intelligence platform offering marketing analytics, financial modelling, competitive intelligence, and strategic advisory services to registered business clients across three subscription tiers: Intelligence, Assist, and Active.

3. Subscription Plans & Billing

• Intelligence Tier ($149/mo): Read-only marketing analytics dashboard access.
• Assist Tier ($599/mo): Full marketing analytics plus financial hub, cash flow modeling, and profitability analysis.
• Active Tier ($1,499/mo): All Assist features plus What-If scenario modeling, loan readiness scoring, and dedicated strategic execution support.

Subscriptions are billed monthly and renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

4. White-Label Partner Terms

Registered white-label partners ("Partners") may resell EMF services under their own agency brand at self-determined retail pricing. Partners are responsible for their sub-clients' compliance with these Terms. EMF Global retains the right to terminate partner agreements with 30 days' notice for any material breach.

5. Acceptable Use

You agree not to:

• Attempt to gain unauthorized access to other client accounts or EMF infrastructure
• Reverse engineer, decompile, or extract source code from the platform
• Use the Service to process unlawful, fraudulent, or harmful data
• Share your access credentials with unauthorized third parties
• Circumvent any authentication, access control, or security mechanism
• Introduce malware, scrapers, or automated bots without written consent

6. Data Ownership

You retain full ownership of all business data, financial figures, and content you input into the platform. EMF Global is granted a limited, non-exclusive licence to process this data solely to provide the Service. We make no claim of ownership over your data.

Upon account termination, you may request a complete export of your data within 30 days before it is purged from our systems.

7. Intellectual Property

All platform software, interfaces, reports, templates, and analytics methodologies are the exclusive intellectual property of EMF Global. Nothing in these Terms grants you a licence to reproduce, distribute, or create derivative works from EMF's proprietary materials.

8. Service Availability & SLA

We target 99.5% monthly uptime for all production services. Scheduled maintenance will be communicated 48 hours in advance. EMF Global is not liable for downtime resulting from third-party infrastructure failures (Supabase, Stripe, Vercel, AWS) or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, EMF Global's total liability for any claim arising from use of the Service shall not exceed the total fees paid by you in the three months preceding the claim. EMF Global is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless EMF Global, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or your business activities.

11. Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict-of-law provisions. Any disputes shall be resolved in the courts of [Your State]. For billing disputes, we encourage direct resolution via Emf.inquiries@gmail.com before legal proceedings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email and/or platform notification at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance.
